    We’re on the hunt for an experienced Corporate Development Analyst who ranks in the top quartile among their peers. Someone who has a highly competitive and entrepreneurial mindset that is wired with a team-first attitude, has no problem rolling up their sleeves to execute their missions, and can modulate between leading and following as needed. Corporate Development is a key focus of Solera’s growth strategy. Executing strategic acquisitions, which entails Origination, Diligence, Execution, and Integration, will play a central role in achieving our Mission 2020 goal - $2 billion in revenue and $800 million in EBITDA by 2020. As a key member of our Corporate Development Group, this person will have the opportunity to shape the thinking in the creation of long-term value in a fast-paced, challenging environment and have significant interaction with (i) Solera’s senior leadership, (ii) outside advisors, and (iii) target management. This position will be based out of the Westlake, Texas office.

    What You’ll Be Doing

    At Solera, we believe in providing clarity and focus to what our volunteers are responsible for – their mission. The Analyst’s mission is to conduct timely and effective financial and strategic analyses in support of Solera’s strategic global growth initiatives across its various business sectors. Solera will seek to build upon its M&A track record by aggressively targeting high-quality acquisition revenue and number of deals completed. The 80’s, as we call them at Solera, are the employee’s priorities associated with their role or mission. The mission 80’s for this role, are:

    1. Origination:
    • Assist in strategic M&A planning and vetting efforts, including gathering input from cross-functional teams and incorporating comprehensive internal and external views into thoughtful, organized insights and business cases for potential M&A opportunities.
    • Maintain a weekly pipeline of global M&A activities and be the 80 in developing and utilizing tools to keep the Corp Development and legal department on task

         2. Due Diligence:

    • Create and manage target information request lists and have the focal responsibility for developing and tracking the timing of the delivery and digestion of the information
    • Organize key functional areas (HR, IT, legal, etc.) so that due diligence is performed thoroughly and effectively.

         3. Execution:

    • Conduct due diligence, financial modeling, and rigorous analyses of quantitative, financial, and qualitative data in support of Solera’s Global M&A activities.
    • Prepare detailed evaluation and approvals packages for internal stakeholders.

    Additional responsibilities of the role include:

    • Origination:
      • In concert with business and corporate development leadership, identify potential M&A opportunities and articulate their contributions to strategic objectives.
    • Execution:
      • Work with cross-functional teams to analyze key issues and develop fact-based recommendations.
      • Evaluate the implications deal negotiations and support the alignment of outputs to strategic goals.
    • Integration:
      • Be a 20 to acquired management in developing and finalizing Solera’s 1+3 financial forecast for the acquired business including evaluating the acquired Company’s sales pipeline, defining 30/30’s and planning FTE growth
        • Assist in developing and preparing tracking mechanism to evaluate periodic performance
      • Identify and track potential add on M&A targets


    Are You Qualified?

    • Strong communication skills.
    • Experience with cultural diversity.
    • Proven ability to structure and conduct qualitative and quantitative research and analysis, including complex M&A modeling, to support the development of fact-based insights.
    • Able to convey data in a straightforward fashion for a variety of internal and external stakeholders. Demonstrated ability to research, understand and succinctly explain complex issues and situations.
    • Two to three years of applicable strategy, finance or other highly analytical experience. A background in investment banking at a top tier U.S.-based bank is strongly preferred.
    • Strong general business acumen with an excellent understanding of financial risk assessment/management, P&L and budgeting.
    • University degree required.
